Acceptance of these Terms

Agreement

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and Autonomous Marketing SF, Inc., a Delaware corporation (“Nation”, “we”, “us”), and govern your access to and use of the Nation website, the Nation app, the stores you run on Nation, Nation’s AI agents, the Nation connector for AI assistants and related services (the “Services”). By creating an account, connecting an integration or an AI assistant, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

Eligibility and authority

You must be at least 18 years old and able to enter into a binding contract. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms, and “you” includes that business. You also represent that you are authorized to connect, and to let Nation act on, every account and integration you link to the Services.

What Nation is

Nation is an AI-native commerce platform. You create and run online stores on it, and Nation’s AI agents build your storefront and help manage your catalog, orders, customers, marketing and support. The agents act on your instructions and on your behalf. Sensitive actions are sent to you for approval before they run.

Nation’s agents are powered by third-party AI models and other automated systems. They are probabilistic software, not people and not professional advisors. They can make mistakes, produce inaccurate or incomplete output, and take actions that are unexpected or wrong. You accept this as an inherent characteristic of the Services.

Your store and your responsibilities

Every action taken in your store by Nation’s agents, by an AI assistant you connect, or by you, is taken at your direction and on your behalf. You are solely responsible for:

• Your store, the products you sell, their descriptions, prices and availability, and fulfilling your orders.
• Taxes on your sales. Tax calculation tools help, but you are responsible for registering, collecting, filing and paying the taxes that apply to you.
• Complying with the laws that apply to your store, including consumer protection, product safety, advertising, marketing and anti-spam, and privacy laws.
• Your communications with your customers, your store policies, and handling refunds, returns and disputes with your customers.
• Reviewing and approving agent actions, reviewing agent output before relying on it, and stopping or correcting any activity you do not want.
• The shopper data your store collects. You are the controller of that data, you must have a lawful basis to collect and use it and a privacy policy for your store, and Nation processes it on your instructions as described in our Privacy Policy.
• Keeping your Nation account, your keys and your integration credentials secure.

The Services do not provide legal, tax, financial or other professional advice.

AI assistants and connectors

You can connect Nation to ChatGPT, Claude or another MCP client. Connecting creates a dedicated key for one store, named “<App> (MCP)”. Actions the assistant takes through that key are taken on your behalf, and you are responsible for them as if you had taken them yourself. You can stop an assistant at any time by revoking its key in Nation under Settings → Developer. Your use of the assistant itself is governed by its provider’s terms.

No guarantee of results

Nation makes no guarantee of any results. We do not promise any particular sales, revenue, conversions, traffic, search rankings, advertising performance or other outcome. Results depend on many factors outside our control, including your products and prices, market conditions and the decisions of third-party platforms. Any examples are illustrative only.

Third-party platforms

The Services work with third-party platforms, including payment processors, product suppliers, fulfillment and shipping carriers, advertising platforms and AI assistants. Your use of each one is governed by its own terms and policies, which you are responsible for reviewing and following. Payments for your store are processed by Stripe under Stripe’s terms. Nation does not control and is not responsible for these third parties, their availability, pricing, decisions or actions, including any restriction or suspension of your accounts with them.

Acceptable use

You agree not to:

• Sell products or services that are illegal where you sell them, or that your payment processor or a connected platform prohibits.
• Use the Services for fraud, deception or any unlawful purpose, including misleading product claims, fake reviews or counterfeit goods.
• Infringe anyone’s intellectual property, privacy or other rights.
• Send spam or unsolicited messages, or collect people’s data without a lawful basis or their consent.
• Abuse the AI features: use them to generate unlawful or harmful content, try to bypass approvals, limits or safeguards, or use them to build a competing service.
• Upload malicious code, or probe, disrupt or gain unauthorized access to the Services or any system.
• Connect accounts you are not authorized to use, or misrepresent your identity or affiliation.

Intellectual property

You own your content and your store data, including your products, images, text and customer records. You grant Nation a license to host, process and display that content only as needed to provide the Services to you. As between you and Nation, you also own the output Nation’s agents generate for your store, subject to the terms of the AI model providers, and you are responsible for making sure it is lawful to use and publish.

Nation owns the Services, including the platform, software, design and Nation’s own materials. You may not copy, modify, resell or create derivative works from the Services except as these Terms allow.

Subscriptions, fees, trials and refunds

Paid plans are billed through Stripe at the prices shown when you subscribe. Subscriptions renew automatically until you cancel. If your plan starts with a free trial, it converts to a paid subscription at the end of the trial unless you cancel before then. Cancelling stops future renewals; access continues until the end of the current billing period. Prices may not include applicable taxes, and failure to pay may lead to suspension of the Services.

Payment processing fees on your store’s sales are charged by Stripe under its terms. Except where required by law or stated at purchase, fees paid to Nation are non-refundable. We correct duplicate charges and billing errors.

Suspension and termination

We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms, if your use creates legal or security risk, or for fraudulent, abusive or unlawful activity. You may stop using the Services at any time. Sections that by their nature should survive termination, including disclaimers, limitation of liability, indemnification and dispute resolution, survive.

Data and security

Our handling of personal data, including your customers’ data, is described in our Privacy Policy. You remain responsible for the security of your own accounts and credentials.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, Nation disclaims all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. Nation does not warrant that the Services or any agent output will be accurate, complete, secure, uninterrupted or error-free.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATION AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SUPPLIERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, SALES, DATA OR GOODWILL, OR BUSINESS INTERRUPTION, arising out of or related to the Services or these Terms, under any theory, even if Nation has been advised of the possibility of such damages.

IN NO EVENT WILL NATION’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS EXCEED THE GREATER OF (A) THE FEES YOU PAID TO NATION IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless Nation and its officers, directors, employees, contractors and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your store, your products and your dealings with your customers; (b) actions taken in your store by Nation’s agents or by an AI assistant at your authorization; (c) your content and data; (d) your violation of these Terms, of any law, or of a third-party platform’s terms; or (e) your infringement of anyone’s rights.

Dispute resolution

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND INCLUDES A CLASS ACTION AND JURY TRIAL WAIVER.

Informal resolution first

Before starting an arbitration, the party raising a dispute must send the other party a written notice describing it (to Nation at dk@withnation.ai), and the parties must try in good faith to resolve it informally for at least forty-five (45) days.

Agreement to arbitrate

You and Nation agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, rather than in court, and governed by the Federal Arbitration Act. Either party may instead bring an individual claim in small claims court if it qualifies, or seek equitable relief in court for infringement or misuse of intellectual property.

Class action and jury trial waiver

You and Nation each waive the right to a jury trial and agree that disputes may be brought only individually, and not as a plaintiff or class member in any class, collective or representative proceeding.

Right to opt out

You may opt out of this arbitration agreement by emailing dk@withnation.ai within thirty (30) days of first accepting these Terms, with your name, the email address of your account and a statement that you opt out of arbitration.

Severability

If any part of this section is found unenforceable, that part is severed and the rest remains in effect, except that if the class action waiver is found unenforceable for a claim, that claim proceeds in the courts named in the Governing law section.

Governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles, and, for the arbitration agreement, by the Federal Arbitration Act. Where a dispute may proceed in court, it will be resolved exclusively in the state or federal courts located in San Francisco County, California, and you consent to their jurisdiction.

Changes to these Terms

We may update these Terms. The date at the top shows the current version, and we will email account owners before a material change takes effect. Your continued use of the Services after a change takes effect means you accept the updated Terms.
